Last Updated: September 29, 2026

Welcome to Yanly.

These Terms and Conditions ("Terms") govern your access to and use of the Yanly website, mobile application, and related services (collectively, the "Service"). The Service is operated by Legacy Ventures Group LLC, doing business as Yanly ("Yanly," "we," "us," or "our").

By creating an account, purchasing a Yanly product, accessing the Application, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.

1. About Yanly

Yanly is a language-learning service that provides language-learning content, calendar functionality, cultural and holiday learning, pronunciation and translation features, and related products and services.

Yanly currently offers:

  • A mobile application;

  • Subscription-based access to the Application;

  • A 30-day free trial for eligible users;

  • Physical language-learning wall calendars; and

  • Access codes included with eligible physical Calendars that provide access to the Application for the applicable Calendar year.

Features, content, products, languages, subscription options, and other aspects of the Service may change over time.

2. Eligibility

You must be at least 13 years old to create an account or use the Service.

By using Yanly, you represent that you meet this age requirement and that you have the legal capacity to agree to these Terms.

Yanly is not intended for children under 13, and we do not knowingly permit children under 13 to create accounts or use the Service.

If you are a parent or legal guardian and believe that a child under 13 has created a Yanly account or provided personal information to us, please contact us at support@yanly.com.

3. Your Yanly Account

Certain features of Yanly require an account.

When creating an account, you agree to provide accurate and current information and to keep that information updated.

You are responsible for maintaining the security of your account credentials and for activity conducted through your account.

You must notify Yanly promptly if you believe your account has been accessed or used without authorization.

You may not:

  • Create an account using another person's identity;

  • Impersonate another person or organization;

  • Create an account for fraudulent purposes;

  • Use another person's account without authorization; or

  • Provide false information to Yanly.

Yanly may support account creation and sign-in through email/password authentication and third-party authentication services, including Sign in with Apple and Google.

4. Personal Calendar and User Content

Yanly allows users to create and manage personal calendar events.

Depending on the features available to you, you may enter information such as:

  • Event titles;

  • Dates and times;

  • Descriptions;

  • Locations;

  • Links;

  • Images; and

  • Other information you choose to include.

You are responsible for the content you enter into your personal calendar and for ensuring that you have the right to provide that content.

Maintain Your Own Backup

Yanly is designed to help you organize and manage your calendar information, but you should not use Yanly as the sole or only copy of important information.

You should maintain an independent copy of important appointments, deadlines, schedules, reminders, travel information, and other information that you cannot afford to lose.

We make reasonable efforts to maintain the availability and integrity of the Service and user information. However, we cannot guarantee that information will never be lost, corrupted, accidentally deleted, unavailable, or otherwise affected by technical problems, service interruptions, security incidents, third-party service failures, or other circumstances beyond our control.

5. AI-Powered Translation

Yanly uses artificial intelligence services, including OpenAI, to provide translation and related language-learning functionality.

When you use an AI-powered translation feature, content you submit for translation may be processed by the applicable AI service provider.

This may include text that you enter into personal calendar events or other content that you intentionally submit for translation.

AI-Generated Content

AI-generated translations and other AI-assisted content may contain errors, inaccuracies, omissions, or differences in meaning.

Yanly does not guarantee that AI-generated translations will always be accurate, complete, culturally appropriate, or suitable for every context.

You should review AI-generated content when accuracy is important.

You should not rely on Yanly's AI-generated translation as a substitute for professional translation, interpretation, legal advice, medical advice, financial advice, or other professional services where accuracy is critical.

Your Responsibility When Using AI Features

You are responsible for deciding what information you submit for AI-powered processing.

You should not submit information that you do not have the right to submit or that you are not comfortable having processed by a third-party AI service.

Additional information regarding Yanly's use of AI services and the information processed by those services is provided in our Privacy Policy.

6. Language-Learning Content

Yanly provides educational and language-learning content, which may include:

  • Vocabulary;

  • Translations;

  • Pronunciation information;

  • Words of the Day;

  • Cultural information;

  • Holiday information;

  • Stories;

  • Examples;

  • Questions and learning activities; and

  • Other educational materials.

This content is provided for general educational and informational purposes.

We make reasonable efforts to provide accurate and useful educational content, but we do not guarantee that every translation, pronunciation, definition, example, cultural explanation, or other educational material will always be complete, current, or error-free.

Language and cultural practices may vary by region, community, context, and usage.

7. Subscriptions

Yanly offers paid subscriptions through the Apple App Store and Google Play.

Subscription plans may be offered on a monthly or annual basis.

The specific price and billing frequency applicable to you will be displayed before you purchase a subscription.

Subscriptions purchased through Apple or Google are billed and managed through the applicable Application Store.

Automatic Renewal

Subscriptions automatically renew at the end of the applicable subscription period unless you cancel the subscription before the renewal date.

If you do not cancel before renewal, you will be charged for the next subscription period according to the applicable subscription plan and the Application Store's billing procedures.

Free Trial

Yanly offers a 30-day free trial to eligible users.

Free-trial eligibility is determined by the applicable Application Store and may depend on your previous use of a free trial or subscription.

If you start a free trial and do not cancel before the trial period ends, your free trial will automatically convert to the paid subscription you selected.

You are responsible for cancelling your subscription before the free trial ends if you do not want to be charged for the paid subscription.

Cancelling Your Subscription

If you purchased your subscription through Apple, you must manage and cancel the subscription through Apple.

If you purchased your subscription through Google Play, you must manage and cancel the subscription through Google Play.

Cancelling a subscription generally prevents future renewal but does not necessarily provide a refund for the current subscription period.

The applicable Application Store's cancellation and refund policies may also apply.

8. Subscription Refunds

Subscription purchases made through Apple or Google are subject to the applicable Application Store's payment and refund policies.

If you want to request a refund for a subscription purchased through an Application Store, you may need to submit the request through that Application Store.

Yanly does not control Apple's or Google's independent refund decisions or policies.

Nothing in these Terms limits any refund or consumer rights that cannot legally be limited or waived.

9. Physical Yanly Calendars

Yanly sells physical wall calendars through the Website.

The current retail price of the physical Yanly Calendar is $24.99. Prices may change in the future.

Purchasing a physical Calendar does not automatically create a Yanly account.

To use the Application access included with an eligible Calendar, you must:

  1. Download the Yanly Application;

  2. Create or use a Yanly account; and

  3. Enter and redeem the Access Code included with the Calendar.

10. Calendar Access Codes

Eligible physical Calendars include a unique Access Code that provides access to the Yanly Application for the applicable Calendar year.

The Access Code:

  • Becomes active when redeemed;

  • Is associated with the Yanly account that redeems it;

  • Provides access from the date of redemption through the end of the applicable Calendar year;

  • Expires at the end of that Calendar year; and

  • Cannot be exchanged for cash.

The Access Code does not provide a fixed number of months of access.

For example, a Calendar for 2028 purchased and redeemed in January 2028 may provide access for nearly the entire year, while the same Calendar purchased and redeemed in November 2028 would provide access only through December 31, 2028.

All eligible Calendar users receive the same type of Application access associated with the applicable Access Code. Yanly does not currently offer different Premium levels associated with different Access Codes.

Access Codes are intended for the purchaser or intended user of the eligible Calendar and may not be resold, transferred, duplicated, or commercially distributed without Yanly's authorization.

Yanly may deactivate an Access Code if we reasonably believe that it was obtained, distributed, or used fraudulently, unlawfully, or in violation of these Terms.

11. Physical Calendar Returns and Refunds

Yanly accepts returns of physical Calendars within 30 days of purchase.

You may return a Calendar within the 30-day return period even if you simply decide that you do not want the product.

To receive a refund, the Calendar must be returned in accordance with Yanly's return instructions.

After receiving an eligible returned Calendar, Yanly will process the applicable refund using the payment method associated with the original purchase, subject to applicable payment-processing requirements.

Yanly will provide return instructions when you request a return.

Return-shipping arrangements and responsibility for return shipping costs will be communicated to you as part of the return process.

Damaged or Defective Calendars

If your Calendar arrives damaged or defective, contact Yanly at support@yanly.com.

After confirming the issue, Yanly will provide a replacement Calendar when reasonably available.

If a replacement is not reasonably available, Yanly may provide an appropriate refund or other resolution.

12. Orders

When placing an order through the Website, you agree to provide accurate information necessary to process and fulfill the order.

Yanly may decline or cancel an order when reasonably necessary, including because of:

  • Product availability;

  • Pricing or product-description errors;

  • Order errors;

  • Suspected fraud;

  • Unauthorized transactions; or

  • Other circumstances that prevent Yanly from fulfilling the order.

If Yanly cancels an order after payment has been received, Yanly will provide an applicable refund.

13. Product Information

Yanly makes reasonable efforts to ensure that product descriptions, images, pricing, and other product information are accurate.

However, physical product colors and appearance may vary due to photography, display settings, printing, manufacturing, or other factors.

We reserve the right to correct errors, inaccuracies, or omissions and to update product information or pricing.

14. Acceptable Use

You agree to use Yanly only for lawful purposes and in accordance with these Terms.

You may not:

  • Use the Service for unlawful purposes;

  • Attempt to gain unauthorized access to another user's account or information;

  • Circumvent security or access controls;

  • Interfere with or disrupt the Service;

  • Introduce viruses, malware, or other harmful code;

  • Attempt to reverse engineer or extract source code from the Application except where permitted by applicable law;

  • Copy, reproduce, distribute, or commercially exploit Yanly's proprietary content without permission;

  • Abuse, duplicate, manipulate, or fraudulently obtain Access Codes;

  • Attempt to circumvent subscription requirements;

  • Create fraudulent accounts;

  • Impersonate another person or organization;

  • Use the Service to harass, threaten, defraud, or harm another person;

  • Violate another person's privacy or intellectual-property rights;

  • Use automated systems to abuse, overload, scrape, or interfere with the Service; or

  • Engage in any activity that violates applicable law or these Terms.

15. User Content

You retain ownership of content that you create and submit to Yanly, subject to the rights necessary for Yanly to provide the Service.

By submitting User Content, you grant Yanly the limited rights necessary to host, store, process, reproduce, transmit, display, and otherwise use that content as reasonably necessary to provide the features and functionality you request.

For example, Yanly may need to process your calendar event information to display your calendar, provide translations, generate requested notifications, synchronize your information, or otherwise provide the Service.

You represent that you have the right to submit the content you provide to Yanly.

You are responsible for your User Content.

You may not submit content that:

  • Violates applicable law;

  • Infringes another person's intellectual-property rights;

  • Violates another person's privacy rights;

  • Contains malicious code;

  • Attempts to compromise the security of the Service;

  • Impersonates another person;

  • Is fraudulent or intentionally deceptive; or

  • Otherwise violates these Terms.

Yanly may remove or restrict access to User Content when reasonably necessary to address violations of these Terms, legal requirements, security concerns, or operational issues.

16. Reviews, Ratings, and Platform Features

Yanly may allow users to participate in reviews, ratings, feedback, or other features made available through Yanly or through third-party Application Stores.

Any review, rating, comment, or other public feedback you submit must comply with applicable platform rules and these Terms.

You must not submit fraudulent, misleading, abusive, defamatory, or intentionally deceptive reviews or ratings.

17. Intellectual Property

The Yanly Service and its original content, features, functionality, software, designs, graphics, logos, trademarks, educational materials, text, and other materials provided by Yanly are owned by or licensed to Legacy Ventures Group LLC and are protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms or applicable law, you may not:

  • Copy;

  • Reproduce;

  • Modify;

  • Distribute;

  • Sell;

  • License;

  • Publicly display;

  • Create derivative works from; or

  • Commercially exploit

Yanly's proprietary content without our prior written permission.

Yanly's name, logos, trademarks, and branding may not be used without our prior written permission.

18. Feedback

If you provide suggestions, ideas, recommendations, or other feedback regarding Yanly, you grant Yanly permission to use that feedback to improve, develop, market, or otherwise enhance the Service without compensation to you.

This does not transfer ownership of your independently owned User Content or other intellectual property.

19. Third-Party Services

Yanly uses third-party services to provide certain portions of the Service.

These may include services provided by:

  • Apple;

  • Google and Google Play;

  • Firebase;

  • OpenAI;

  • Wix;

  • Mailgun; and

  • Other service providers.

Your use of third-party services may be subject to those providers' own terms and privacy policies.

Yanly is not responsible for the independent operation, availability, policies, or practices of third-party services.

20. Apple App Store and Google Play

The Application may be distributed through the Apple App Store and Google Play.

Your use of the Application is also subject to the applicable Application Store's terms, policies, and requirements.

Where applicable, Apple and Google may have rights as third-party beneficiaries of provisions governing your use of the Application.

Yanly is responsible for the Application and its content to the extent provided by applicable law and the applicable Application Store agreements.

21. Account Suspension and Termination

Yanly may suspend, restrict, or terminate your account or access to all or part of the Service at any time and for any reason, to the maximum extent permitted by applicable law.

Reasons may include, without limitation:

  • Violation of these Terms;

  • Fraud or suspected fraud;

  • Abuse of the Service;

  • Unauthorized use or distribution of Access Codes;

  • Attempts to compromise the Service or another user's information;

  • Illegal activity;

  • Harassment or harmful conduct;

  • Misuse of subscriptions;

  • Attempts to circumvent access restrictions; or

  • Conduct that creates a legal, security, or operational risk for Yanly or its users.

Where reasonably practicable, Yanly may provide notice of termination or suspension, but we may act without prior notice when necessary to protect the Service, users, or Yanly.

If your account is terminated because you violated these Terms, you may lose access to your account, User Content, Access Code benefits, and other Service features.

Termination of your Yanly account does not automatically cancel a subscription purchased through Apple or Google. You remain responsible for cancelling applicable subscriptions through the relevant Application Store.

22. Account Deletion

You may request deletion of your Yanly account through the account-deletion process provided by Yanly.

Deleting your account may result in the permanent loss of:

  • Your personal calendar events;

  • Learning-related information;

  • Account preferences;

  • Access to unused Access Code benefits; and

  • Other information associated with your account.

Account deletion does not automatically cancel an Apple App Store or Google Play subscription. You are responsible for cancelling any active subscription through the applicable Application Store.

Yanly may retain certain information where required or permitted by applicable law, or where reasonably necessary for legitimate purposes such as fraud prevention, security, legal compliance, dispute resolution, or maintaining required business records.

Our Privacy Policy provides additional information about account deletion and data retention.

  • Be error-free;

  • Be free from delays;

  • Be compatible with every device or operating system; or

  • Remain unchanged.

The Service may occasionally be unavailable because of maintenance, updates, technical problems, security incidents, third-party service interruptions, or circumstances outside our control.

We may modify, suspend, discontinue, or replace portions of the Service at any time.

24. Educational and Translation Disclaimer

Yanly is an educational and language-learning service.

Nothing provided through Yanly constitutes legal, medical, financial, immigration, professional translation, professional interpretation, or other professional advice.

Translations, pronunciation guidance, cultural information, and educational materials may contain errors.

You are responsible for independently verifying information when accuracy is important or when consequences may result from relying on the information.

25. Disclaimer of Warranties

We do not guarantee that the Service will meet your particular requirements, operate continuously, be error-free, or always produce accurate results.

To the maximum extent permitted by law, Yanly disclaims warranties not expressly provided in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

26. Limitation of Liability

To the maximum extent permitted by applicable law, Legacy Ventures Group LLC and its owners, employees, contractors, service providers, licensors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Service.

This includes, to the extent permitted by law, damages arising from:

  • Loss of data;

  • Loss of calendar information;

  • Reliance on translations or educational content;

  • Third-party service interruptions;

  • Unauthorized access resulting from circumstances outside Yanly's reasonable control; or

  • Other indirect losses.

To the maximum extent permitted by applicable law, Yanly's total liability arising from your use of the Service will be limited to the greater of:

  1. The amount you paid to Yanly for the specific Service giving rise to the claim during the twelve months preceding the event giving rise to the claim; or

  2. $100.

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

27. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Legacy Ventures Group LLC, Yanly, and their owners, employees, contractors, service providers, and representatives from claims, liabilities, damages, losses, and expenses arising from:

  • Your violation of these Terms;

  • Your unlawful use of the Service;

  • Your User Content;

  • Your violation of another person's rights; or

  • Your fraudulent or unauthorized use of the Service.

This provision does not require you to indemnify Yanly for Yanly's own conduct to the extent prohibited by applicable law.

28. Third-Party Websites and Links

Yanly may contain links to websites or services operated by third parties.

These links are provided for convenience and do not constitute an endorsement by Yanly.

Yanly does not control third-party websites and is not responsible for their content, availability, security, privacy practices, or terms.

You should review the applicable terms and privacy policies before using third-party services.

29. Changes to the Service

Yanly may add, remove, modify, or discontinue features, content, languages, products, subscription plans, or other aspects of the Service.

We may also make changes necessary to comply with applicable laws, platform requirements, security requirements, or technological developments.

Where required by applicable law, we will provide appropriate notice of material changes.

We may update these Terms from time to time.

When we make changes, we will update the Last Updated date at the beginning of these Terms.

For material changes, we may provide additional notice when appropriate.

These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-law principles, except to the extent that applicable law requires otherwise.

Nothing in this section prevents consumers from receiving protections provided by mandatory laws applicable in their place of residence.

32. Dispute Resolution

If you have a concern or dispute with Yanly, please first contact us at support@yanly.com so that we can attempt to resolve the matter informally.

Nothing in these Terms prevents you from exercising rights that cannot legally be waived.

Any additional dispute-resolution procedures, including any arbitration requirements or limitations on class actions, will apply only if expressly included in a future version of these Terms and permitted by applicable law.

33. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the extent necessary to make it enforceable, and the remaining provisions will remain in effect.

34. No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision later.

35. Entire Agreement

These Terms, together with the Yanly Privacy Policy and any other policies expressly incorporated into these Terms, constitute the agreement between you and Yanly regarding your use of the Service.
